01Acceptance of Terms

These Terms constitute a legally binding agreement between you and Tekkulture Limited (Oploads AI) governing your access to and use of the platform. By creating an account or accessing the Service, you confirm you are at least 18, have read these Terms, and agree to be bound by them.

02The Service

Oploads AI is the next-generation cloud-based file-sharing platform for managing, sharing, and collaborating on digital content. Features include:

• File upload, storage, organisation, and sharing across all content types
• AI-powered content analysis, summarisation, tagging, and classification
• Content compliance checking and review
• File format conversion, OCR extraction, voice summary, and text-to-speech
• Audio and video transcription and summarisation
• AI-powered drafting, scheduling, and productivity tools
• Automated workflows, task management, and team collaboration

03Account Registration & Security

• Provide accurate and current registration information
• Keep credentials secure and do not share them
• Report unauthorised access immediately to support@oploads.com
• Accept responsibility for all account activity
• Use a strong password and enable MFA where available

04Subscription Plans & Payment

• Billing: Monthly or annually in advance; prices subject to change with 30 days notice
• Auto-renewal: Renews automatically unless cancelled before renewal date
• Cancellation: Cancel anytime; access continues until end of billing period
• Refunds: 14-day money-back on annual plans; monthly plans non-refundable except by law
• Failed payments: May result in downgrade to free tier
• Taxes: Prices exclude applicable taxes

05Acceptable Use Policy

You must not:

• Upload or share illegal, defamatory, obscene, harmful, or fraudulent content
• Violate any applicable law or regulation
• Attempt unauthorised access to any part of the Service
• Use AI features to generate harmful, deceptive, or illegal content
• Reverse engineer or extract source code from the platform
• Use automated tools without prior written consent
• Upload malware or malicious code
• Impersonate any person or entity
• Resell or commercially exploit the Service without permission

Violations may result in immediate suspension or termination without refund.

06Your Content & Intellectual Property

• Your Content: You retain full ownership. You grant us a limited licence to store and process it solely to provide the Service.
• AI-Generated Content: Owned by you, subject to third-party AI provider policies.
• Our IP: The platform, software, design, and trademarks are owned by Tekkulture Limited. No copying or distribution without written permission.
• Feedback: May be used by us without obligation to you.

07AI Features — Specific Terms

• Content may be processed by third-party AI service providers
• AI outputs may contain errors and are not professional advice
• You are responsible for reviewing AI-generated content before use
• We do not guarantee accuracy or completeness of AI outputs
• AI compliance features assist review — they are not legal certification

08Team & Organisational Accounts

• Admins manage access and ensure team compliance with these Terms
• The organisation is liable for all activity under its account
• Admins have 30 days to export data after subscription termination

09Availability & Service Levels

• Target 99.5% monthly uptime for paid plans, excluding maintenance
• Maintenance communicated at least 48 hours in advance where possible
• No liability for third-party or force majeure downtime
• Free plan users have no uptime guarantee or priority support

10Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR PURPOSE. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE.

11Limitation of Liability

TEKKULTURE LIMITED SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ₦50,000.

12Indemnification

You agree to indemnify Tekkulture Limited from claims arising from your violation of these Terms, your Content, or your breach of any third-party rights.

13Termination

• By You: Delete account in Settings; data removed within 30 days.
• By Us: We may terminate for material breaches, fraud, or security risks.
• Effect: Access ends immediately. Survival clauses remain in force.

14Governing Law & Dispute Resolution

Governed by the laws of the Federal Republic of Nigeria. Disputes addressed first by negotiation, then mediation under Lagos Court of Arbitration rules, then litigation in Lagos State courts.

15Changes to These Terms

Material changes notified by email and in-platform at least 14 days before effect. Continued use constitutes acceptance.

16General Provisions

• Entire Agreement: These Terms and Privacy Policy are the full agreement
• Severability: Unenforceable provisions modified minimally; remainder stays in force
• No Waiver: Failure to enforce a right does not waive it
• Assignment: You may not assign without consent
• Force Majeure: No liability for circumstances beyond reasonable control
• Language: English version prevails in any conflict
